GENERAL TERMS AND CONDITIONS DOLLY BIKES B.V.

The “General Terms and Conditions Dolly Bikes B.V. for agreements” were established in January 2013. A copy of these terms and conditions can be read and downloaded via the website www.dolly-bakfiets.nl. They can also be requested from Dolly Bikes B.V., Oregondreef 4, 3565 BG Utrecht, info@dolly-bakfiets.nl.


Article 1. Definitions

In these terms and conditions, the following definitions apply:

  1. Dolly Bikes B.V.: The company that sells cargo bikes and accessories under the trade name Dolly Bikes B.V., hereinafter referred to as Dolly Bikes B.V.

  2. Consumer: The natural person who does not act in the exercise of a profession or business and enters into an agreement with Dolly Bikes B.V.

  3. Agreement: Any agreement concluded between Dolly Bikes B.V. and the Consumer, including any amendments or additions thereto.

  4. Day: Calendar day.

Article 3. Applicability

  1. These terms and conditions apply to every offer and every agreement between Dolly Bikes B.V. and the Consumer, unless expressly deviated from in writing by both parties.

  2. These terms and conditions also apply to agreements for which Dolly Bikes B.V. needs to involve third parties for execution.

  3. Any terms and conditions used by the Consumer are explicitly rejected. Our general terms and conditions always prevail, even if otherwise stipulated.

  4. If any provision of these general terms and conditions is null or void, the remainder will remain fully applicable. Dolly Bikes B.V. and the Consumer will consult to agree on replacement provisions that approximate the original intent as closely as possible.

  5. If Dolly Bikes B.V. does not always strictly enforce these terms, this does not mean they do not apply or that the Consumer loses the right to require strict compliance.


Article 4. Offers

  1. All offers from Dolly Bikes B.V., in any form, are without obligation unless expressly stated otherwise.

  2. Dolly Bikes B.V. is not bound by offers if the Consumer could reasonably understand that the offer (or any part of it) contains an obvious mistake or error.

  3. Prices stated include VAT and other government levies as well as any costs related to the agreement, including administrative costs, unless stated otherwise. Transport and assembly costs are stated separately and are not included in the prices.

  4. We reserve the right to refuse orders without giving reasons.

  5. If acceptance deviates from the offer, Dolly Bikes B.V. is not bound by it. The agreement will only be concluded if Dolly Bikes B.V. agrees otherwise.

  6. All data regarding numbers, measurements, weights, colors, and other indications have been carefully compiled. Dolly Bikes B.V. does not guarantee that no deviations occur. Errors (including price errors on websites, advertisements, offers, invoices, etc.) do not bind Dolly Bikes B.V. Indications, models, or drawings shown are non-binding. The Consumer has the right to dissolve the agreement only if the delivered product deviates so much that the Consumer cannot reasonably be required to accept it.

  7. Dolly Bikes B.V. may execute the agreement in phases and invoice for each part separately.

  8. The Consumer must provide all information and documents necessary for correct execution of the agreement in a timely manner.


Article 5. Suspension, dissolution, and premature termination of the agreement

  1. Dolly Bikes B.V. may suspend obligations or dissolve the agreement immediately if:
    a. The Consumer fails to fulfill obligations timely or fully.
    b. After conclusion of the agreement, circumstances arise that justify fear the Consumer will not fulfill obligations.
    c. The Consumer was asked to provide security for obligations and this is not provided or insufficient.
    d. Due to delay on the Consumer’s part, Dolly Bikes B.V. cannot be reasonably expected to fulfill the agreement under the original conditions.
    e. Circumstances occur that make fulfillment impossible or unreasonable.

  2. If the dissolution is attributable to the Consumer, Dolly Bikes B.V. is entitled to compensation for damages, including costs.

  3. Upon dissolution, Dolly Bikes B.V.’s claims on the Consumer become immediately due. If Dolly Bikes B.V. suspends obligations, its rights remain.

  4. Dolly Bikes B.V. is not liable for damages due to suspension or dissolution.

  5. In cases of liquidation, (application for) suspension of payment, bankruptcy, seizure of assets (if not lifted within three months), debt restructuring, or other circumstances limiting Consumer’s control over assets, Dolly Bikes B.V. may terminate or cancel the agreement immediately without obligation to pay damages.


Article 6. Consumer’s right of withdrawal

  1. The Consumer has the right to cancel the agreement without reason within 14 days after conclusion if it concerns an accessory. Transport and assembly costs will be charged to the Consumer and deducted from any refund.

  2. During this period, the Consumer must handle the product and packaging carefully and only unpack/use it as necessary to assess whether to keep it. If withdrawing, the product and all accessories must be returned in original condition and packaging.

  3. Withdrawal is only possible if conditions in paragraph 6.2 are met.

  4. Withdrawal applies only to loose accessories and not to cargo bikes. Dolly cargo bikes are custom-built according to customer specifications and cannot be cancelled or returned.


Article 7. Force majeure

Dolly Bikes B.V. is not obliged to fulfill obligations if prevented by circumstances beyond its control, including but not limited to those described in law and jurisprudence.

During force majeure, Dolly Bikes B.V. may suspend obligations. If this lasts longer than two months, either party may dissolve the agreement without liability for damages.


Article 8. Payment

  1. The Consumer must pay the full purchase amount at the time of ordering. Orders will only be processed after payment is received.

  2. Payment must be made electronically through the options offered on www.dolly-bakfiets.nl.

  3. The Consumer must immediately report any inaccuracies in payment information to Dolly Bikes B.V.

  4. The Consumer has no rights regarding execution of the order or service before payment is made.


Article 9. Retention of title

  1. Delivered goods remain the property of Dolly Bikes B.V. until the Consumer has fulfilled all obligations, including interest and costs.

  2. Goods under retention of title may not be resold or used as payment. The Consumer may not pledge or encumber these goods.

  3. The Consumer must do everything reasonably required to protect Dolly Bikes B.V.’s ownership rights.

  4. If third parties seize or claim rights to retained goods, the Consumer must notify Dolly Bikes B.V. immediately.


Article 10. Warranty

  1. Warranty terms are stated in the warranty conditions, available on www.dolly-bakfiets.nl.

  2. The warranty period starts at delivery; the invoice serves as proof.

  3. Parts replaced under warranty become the property of Dolly Bikes B.V.

  4. Delivered goods meet reasonable standards and are intended for normal use within the Netherlands. For use outside the Netherlands, the Consumer must verify suitability and compliance with local conditions.


Article 11. Liability

  1. Dolly Bikes B.V. excludes liability except where mandatory by law.

  2. Liability is never higher than the order amount.

  3. Dolly Bikes B.V. is not liable for damage caused by incorrect or incomplete information provided by the Consumer.

  4. Dolly Bikes B.V. is not liable for damage caused by incorrect assembly by the Consumer or third parties appointed by the Consumer.

  5. Dolly Bikes B.V. is never liable for indirect damage, including consequential damages, lost profits, missed savings, or business interruptions.


Article 12. Delivery and transport

For delivery to a Consumer-specified address, the carrier will contact the Consumer to schedule delivery. Delivery times depend on the carrier’s schedule; normally, no deliveries are made on weekends, evenings, or holidays.

Small packages (e.g., loose accessories) are usually delivered by a standard parcel service, which will not contact the Consumer beforehand but will provide a tracking code.

Delivery and transport are performed by third-party carriers, not employees of Dolly Bikes B.V. Delivery is to the door; carriers are not allowed to enter homes, garages, or other private premises.


Article 13. Applicable law

  1. All offers and agreements involving Dolly Bikes B.V. are governed exclusively by Dutch law, even if partially executed abroad or if the other party is located abroad.

  2. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is explicitly excluded.


Article 14. Availability, location, and changes to terms

  1. These terms are available for reading and download on www.dolly-bakfiets.nl.

  2. The Consumer declares to have read and agreed to these terms before the agreement was concluded.

  3. The latest version on the website applies, or the version valid at the time the agreement was made.


Article 15. Disputes

All disputes related to these terms or agreements will be settled by the competent court in the jurisdiction of Dolly Bikes B.V.’s registered office, unless the subdistrict court has jurisdiction.
